These Terms & Conditions ("Terms") govern your access to and use of Setmate ("the Services"). The Services are operated by Nextset Technologies L.L.C-FZ, a Free Zone Limited Liability Company registered in Dubai, United Arab Emirates (Trade Licence No. 2538845.01), with its registered office at Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E. ("we", "our", "us").

By accessing or using Setmate, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


1. Definitions

  • "Customer" means a business or individual who registers an account with Setmate.
  • "End-User" means an individual who interacts with the Setmate widget on a Customer's website.
  • "Services" means the Setmate SaaS platform, including the chat widget, admin dashboard, integrations, and related features.
  • "Integrations" means third-party services connected to Setmate, including Google, Calendly, HubSpot, Stripe, and Xero.
  • "Subscription" means a paid or free plan that provides access to the Services.

2. Use of Services

  • Customers must create an account to access the Services.
  • Customers are responsible for keeping login credentials secure.
  • Customers are responsible for all activity that occurs under their account.
  • Customers must be at least 18 years old.
  • Customers must not use the Services for any unlawful, abusive, or harmful purpose, including but not limited to spamming, fraud, or unauthorized data collection.

3. Subscriptions, Billing & Payments

  • Setmate is offered on a subscription basis. Prices, billing cycles, and features are detailed on our website.
  • Payments are processed through Stripe. We do not store your card number or CVC.
  • Taxes may apply depending on your location.
  • Refunds: Refund requests are considered on a case-by-case basis. We will act fairly and in compliance with applicable consumer laws.
  • We reserve the right to modify pricing or subscription features with reasonable notice.

4. Integrations & Third-Party Services

  • Customers may connect Setmate to third-party services such as Google Calendar, Calendly, HubSpot, Stripe, and Xero.
  • By enabling integrations, Customers authorize Setmate to access and process data from those services solely to deliver the Services.
  • We are not responsible for downtime, errors, or data loss caused by third-party services.
  • Third-party services are governed by their own terms, privacy policies, and data retention practices.
  • Disconnecting an integration stops future access/sync, but data stored in the third-party service may remain until you delete it within that provider.

5. AI Disclaimer

  • Setmate uses artificial intelligence to assist with appointment setting, lead pre-qualification, and customer interactions.
  • AI-generated responses may not always be accurate, complete, or error-free.
  • Customers are solely responsible for reviewing and relying on outputs before using them in business or client communications.

6. Intellectual Property

  • All rights, title, and interest in Setmate (including software, code, design, trademarks, and content) remain the exclusive property of Setmate.
  • Customers retain ownership of their data, leads, and content uploaded to Setmate.
  • Setmate grants Customers a limited, non-exclusive, non-transferable license to use the Services for their internal business purposes.

7. Data & Privacy

  • The collection and processing of personal data is governed by our Privacy Policy.
  • Customers are responsible for ensuring that their use of Setmate complies with applicable privacy laws, including when collecting End-User data.
  • Controller/processor roles: Customers are typically the controller for End-User data collected via the widget/forms. Setmate processes that data as a processor on the Customer's instructions to provide the Services.
  • Legal retention: Account cancellation or deletion does not necessarily mean immediate erasure of all data. We may retain limited records where required by law (for example, tax/accounting) or for legitimate purposes such as security, fraud prevention, and dispute handling, as described in the Privacy Policy.
  • Provider-side retention limits: We cannot control retention of data held by third-party providers (e.g., Stripe, Google, Calendly, HubSpot, Xero) beyond disconnecting integrations and stopping further data transfer.

8. Service Availability

  • The Services are provided on an "as is" and "as available" basis.
  • While we aim to provide reliable uptime, we do not guarantee uninterrupted or error-free service.
  • Temporary downtime may occur due to maintenance, upgrades, or factors beyond our control.

9. Limitation of Liability

  • To the fullest extent permitted by law, Setmate is not liable for any indirect, incidental, or consequential damages, including loss of profits, business, or data.
  • Our total liability under these Terms is limited to the subscription fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.

10. Termination & Suspension

  • Customers may cancel their subscription at any time via the dashboard.
  • We may suspend or terminate accounts that violate these Terms or misuse the Services.
  • Upon termination, access to the Services will cease, but certain obligations (including payment obligations) may survive.
  • After termination, we may retain or de-identify certain information as described in the Privacy Policy and as required by law. Some information may also remain in third-party systems under their retention policies.

11. Governing Law

These Terms are governed by the laws of Australia. Customers outside Australia are responsible for ensuring compliance with their own local laws.
